These terms

These Terms of Use govern your access to the madebysimplify.com website and to software products operated by Simplify Standards Sdn. Bhd. (company registration number 201701036149 / 1250320-H), a company incorporated in Malaysia.

By creating an account or using our products you agree to these terms. If you are agreeing on behalf of an organisation, you confirm you are authorised to do so.

Accounts

You must provide accurate account information and keep your credentials confidential. You are responsible for activity carried out under your account.

Accounts are individual. Where your organisation has multiple users, each person must have their own account so that activity records remain meaningful.

Acceptable use

You agree not to use our products to break the law, infringe another party’s rights, upload malicious code, attempt to gain unauthorised access to our systems or other customers’ data, or interfere with the operation of the service.

We may suspend access where necessary to protect the service, our customers or ourselves.

Your data

You retain ownership of the data you put into our products. You grant us the permissions necessary to host, process, transmit and display it in order to provide the service to you.

You are responsible for having the right to upload the data you upload, and for its accuracy.

Our intellectual property

We retain all rights in our software, designs, documentation, trade marks and product names, including StockZip, InControl, Stockzip Works and Foodies Passport. Nothing in these terms transfers those rights to you.

Subscriptions, fees and renewal

Paid plans are billed in advance for the subscription period. Prices and plan capabilities are those shown at the time of purchase.

Subscriptions renew automatically for the same period unless you cancel before the renewal date. You can cancel at any time; cancellation takes effect at the end of the period you have already paid for, and you keep access until then.

We do not refund partial subscription periods. This does not affect any right to a refund you have under Malaysian consumer law, or where we have failed to provide the service.

Fees are exclusive of taxes. Where Malaysian sales and service tax or an equivalent foreign tax applies, it is added at the prevailing rate. If we change the price of a plan, we will give at least 30 days’ notice before the change takes effect at your next renewal.

Purchases through app stores

Where you purchase a subscription through the Apple App Store or Google Play, that transaction is processed by Apple or Google under their terms. Cancellations, renewals and refunds for such purchases are managed through your app-store account.

Availability and support

We work to keep our products available and reliable, but we do not guarantee uninterrupted availability. Planned maintenance may occasionally interrupt service.

We do not currently offer a contractual uptime commitment or service-level agreement. We would rather say that than publish a figure we have not committed to measuring.

Support is provided by email at contact@stockzip.app, 9:00 to 18:00 Monday to Friday, Malaysia Standard Time (GMT+8), excluding Malaysian public holidays. We aim to respond to a first message by the end of the next business day.

Third-party services

Our products rely on third-party infrastructure and may integrate with services you choose to connect. We are not responsible for the availability or conduct of third-party services, and your use of them is governed by their own terms.

Suspension and termination

You may stop using the products and close your account at any time. We may suspend or terminate access for material breach of these terms, non-payment, or where required by law.

On termination you can export your data before it is deleted in accordance with our Privacy Policy and Data and Account Deletion process.

Disclaimers

Our products are operational tools. They support good record-keeping and management processes; they do not themselves guarantee any regulatory outcome, certification or compliance status.

In particular, InControl supports ISO-aligned document-control processes. Using it does not grant, guarantee or imply ISO certification, which is issued only by an accredited certification body following its own audit.

Limitation of liability

Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud.

Subject to that, our total liability to you arising out of or in connection with these terms and the products is limited to the fees you paid us in the twelve months before the event giving rise to the claim.

We are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, business interruption, or loss or corruption of data to the extent it results from your failure to keep your own export or backup of data you rely on.

Our products are provided as operational tools. Beyond what these terms state and what the law requires, we give no warranty that they will be uninterrupted, error-free, or fit for a particular purpose.

Changes to these terms

We may update these terms as our products change. The current version and its date appear at the top of this page, and we will give notice of material changes before they take effect.

Governing law and contact

These terms are governed by the laws of Malaysia. The courts of Malaysia have jurisdiction over any dispute arising out of or in connection with them, and you and we submit to that jurisdiction.

Before starting proceedings, we ask that you raise the matter with us in writing so we have a fair chance to resolve it. Most things can be settled that way.
